TrustedLocals Territory License

These terms govern a TrustedLocals territory license. A company accepts them at checkout, before any card is collected, and each license records the version accepted, when, and by which account.

Definitions

  • License: the right described in section 1, held by one company.
  • Schedule: the license record shown at checkout and on the partner dashboard. It states the territory, the service category and the monthly rate, and, when one applies, the capacity band and the appointment floor.
  • Good standing: the license is paid current and the company meets the vetting standard on an ongoing basis (section 6).
  • Vetting standard: the published standard at trustedlocals.co/vetting, records R-01 through R-06.

1. The license

One company, one service category, one territory, month to month. The license grants routing exclusivity (section 3) inside that single territory and service category and nothing outside it. Pricing is per territory and service category.

Each license is priced separately and carries its own Schedule. One company may hold licenses in several service categories, several territories, or both; each is a separate license under these terms, with its own rate, its own standing and its own cancellation.

2. Pricing, trial and rate lock

Every license keeps its monthly rate for as long as it remains continuously active and in good standing.

  • Founding Partner: the first 10 licenses TrustedLocals issues are $1,497 per month, whichever company holds them. A company holding several of the first 10 pays the founding rate on each. Founding Partner pricing of $1,497 per month applies to the first 10 licenses and stays locked for as long as that license remains active.
  • Free trial: Founding Partner licenses start with a 30-day free trial. Card on file, nothing charged before day 31. Cancel before then and nothing is charged. Standard licenses have no trial.
  • Standard: every license after the first 10 is priced from $2,497 per month, priced per territory. The published figure is the lowest Standard rate, not a flat rate; the rate for a license is stated in its Schedule. TrustedLocals may change Standard pricing for new licenses at any time. An active Standard license keeps its rate under this section.
  • How the 10 are counted: each is held when a checkout starts, so two companies cannot both take the last one. It returns to the pool if the checkout is abandoned or expires, or if the license ends before its first successful charge (for example, canceled during the trial). It is spent for good at the first successful charge, and a license canceled after that does not return it. When all 10 are spent or held, every new license is Standard.
  • Who may buy: a license is sold only to a company whose application TrustedLocals approved for that territory and service category. Approval alone reserves nothing; the company's own checkout holds the territory, and the company becomes the territory's routed company when the license activates.
  • Cancellation or lapse ends the rate. Re-entry, by the same company or any other, is at then-current pricing. The lock rewards continuous tenure, not past tenure.

3. Exclusivity

While the license is active and in good standing, TrustedLocals maintains no other active license for that service category in that territory, and routes matched homeowner requests to the licensee alone. Requests matched to your active territory and service category route to you alone. TrustedLocals does not sell the same request to competing companies.

The public territory register makes the active territory claim visible to anyone who checks it.

4. Capacity band and territory splits

A Schedule may state a monthly booked-appointment band for the territory: a floor (section 5) and a ceiling.

  • If routed demand exceeds the ceiling in two of any three consecutive months, TrustedLocals may split the territory into two territories. A split is how overflow is handled; a second license is never added to the same territory.
  • On a split, the licensee chooses which of the two territories the license continues in, and keeps its monthly rate there.
  • The licensee holds a seven-day right of first refusal on the other territory, at the then-current Standard rate for it. If the right is not used within seven days of written notice, that territory becomes open.

5. Appointment floor

A Schedule may state a monthly booked-appointment floor. If a floor is stated and TrustedLocals delivers fewer booked appointments than the floor in a calendar month, the remedy is a credit of the following month's license fee. One credit per missed month; the credit is the only remedy for a missed floor.

6. The vetting standard and removal

There are two separate rating gates, and they measure different things.

Entry, from public listings. Before a territory is assigned, TrustedLocals reviews the company's Google Business Profile and Yelp listings, and the company must clear all of the following: a Google rating of 4.5 or higher across at least 50 reviews; reviews from within the past 12 months; no active Yelp alert on the business page. This bar is published, so it binds TrustedLocals as well: a company that does not clear it is not assigned a territory, including where a territory is otherwise unfilled. Public listing ratings are used for this decision only. TrustedLocals does not republish those ratings and does not link to those listings.

Ongoing, from TrustedLocals bookings. The license then requires continuously meeting the published vetting standard: records R-01 through R-06, including an active state license where the category requires one, active insurance, and, once verified reviews exist for the territory, a verified-review average of 4.5 or higher. Verified reviews are those submitted through single-use links tied to completed TrustedLocals bookings. A public listing rating does not satisfy this requirement and cannot substitute for it.

Removal. A lapsed state license or lapsed insurance ends the territory assignment immediately. For any other failure to meet the standard, TrustedLocals gives written notice and a 30-day chance to cure; if the failure continues, the assignment ends at the end of the paid billing period. Fees already paid are not refunded. The public register then shows the territory's new state. An assignment is a current record, not a permanent one.

7. Cancellation

Either party may cancel at any time, effective at the end of the current billing period. There is no cancellation fee and no notice period beyond the billing period itself. A license canceled during the free trial is never charged. When a cancellation takes effect, the territory becomes open and the rate lock ends (section 2).

8. No volume promises

TrustedLocals states no request volume, job volume, or revenue outcome. The appointment floor in section 5, where a Schedule states one, is a credit, not a volume promise. The licensee's business results are its own.

9. No transfer

The license, its rate and the territory assignment may not be sold, assigned, sublicensed or otherwise transferred, in whole or in part, without TrustedLocals' prior written approval. A change of control of the licensee company counts as a transfer under this section.

10. Platform property and data

The demand system is and remains TrustedLocals property: campaigns, ad accounts, landing pages, tracking numbers, routing, the public territory register, and all platform data, including requests, appointments, attribution and verified reviews.

The licensee receives and may freely use the customer relationships from requests routed to it, including the customer contact information delivered with each request, and owns its own business records. The license grants use of the system's output, not rights to the system.

When a license ends for any reason, routing stops and the licensee keeps every customer already delivered. No fee entitles a former licensee to continued routing, to platform data beyond its delivered requests, or to the verified-review record, which stays with the territory register.

11. Changes to these terms

TrustedLocals may change these terms for new licenses by publishing a new version at trustedlocals.co/license-terms, with notice. A new version applies to licenses accepted after it is published. A license keeps the version accepted at its checkout for as long as it remains active; a different version applies to it only if the licensee accepts that version.

12. The licensee's work and the homeowner

The licensee performs all work under its own licenses and insurance, sets its own prices, and is solely responsible to the homeowner for the work, its quality and its safety. TrustedLocals routes requests; it does not perform, supervise or guarantee the work, and it is not a party to the agreement between the licensee and the homeowner. The licensee uses delivered customer information only to perform the requested work and to follow up with that customer, and never sells it or uses it for unrelated marketing.

13. Payment, taxes and failed charges

Fees are billed monthly by card through Stripe and exclude any applicable taxes. If a charge fails, TrustedLocals retries it. If the fee remains unpaid after the retries, the license lapses at the end of the last paid period: routing stops and the territory becomes open, as in section 7.

14. Liability and governing law

TrustedLocals' total liability to the licensee under this license, for any claim, is limited to the license fees the licensee paid in the three months before the claim arose. TrustedLocals is not liable for lost profits or indirect losses. This license is governed by the laws of the State of California.
